Definitions

• "Aethonix" / "we" / "us" — refers to Aethonix, a consulting business registered and operating in Bangkok, Thailand.
• "Client" / "you" — the individual or organization engaging Aethonix's services.
• "Services" — AI Tool Orientation workshops, AI Process Audits, Managed AI Pilot Programs, and any related consulting activities.
• "Scoping Agreement" — the written document agreed between both parties defining the scope, deliverables, and timeline of an engagement.
• "Deliverables" — written outputs, reports, reference materials, or other documents produced during an engagement.

Acceptance of Terms

These terms are accepted when you proceed to engage Aethonix's services, including by signing a Scoping Agreement, making payment, or submitting a contact form indicating intent to engage. Minimum age to enter into an agreement with Aethonix is 18 years. Individuals engaging on behalf of an organization confirm they have authority to bind that organization.

Service Description and Availability

Aethonix provides professional consulting and training services in AI integration for businesses. Services are primarily delivered in Bangkok, Thailand, though remote delivery may be arranged by agreement. Current services and their scope are described on our website and in individual Scoping Agreements.

Aethonix reserves the right to decline any engagement at its discretion, prior to the signing of a Scoping Agreement.

Client Responsibilities

• Provide accurate information relevant to the engagement, including details about workflows, team composition, and existing tools
• Facilitate reasonable access to relevant departments and staff for audit and pilot engagements
• Ensure workshop participants are available for the agreed session date and duration
• Review and respond to Aethonix communications in a timely manner to avoid delays
• Not misrepresent Aethonix's recommendations or deliverables to third parties

Intellectual Property

All workshop materials, frameworks, templates, and methodologies used by Aethonix remain the intellectual property of Aethonix. Upon completion of an engagement and full payment, the Client receives a limited, non-exclusive licence to use the Deliverables produced for that engagement within their own organization.

Clients may not resell, sublicence, or represent Aethonix Deliverables as their own work. Reference cards and reports may be shared internally within the Client organization.

Payment Terms

Fees are as stated in the Scoping Agreement. All amounts are in Thai Baht (฿) unless otherwise agreed. Payment is due within 14 days of invoice date, unless a different schedule is agreed in writing. For workshop engagements, 50% is due upon confirmation with the balance due within 7 days of delivery.

Late payment may result in suspension of work. Aethonix reserves the right to charge interest on overdue amounts at the rate of 7.5% per annum. Refunds are not available once an engagement has commenced, except where Aethonix is unable to deliver the agreed service.

Confidentiality

Aethonix treats all client information gathered during engagements as confidential. We will not share, disclose, or use client workflow information, organizational data, or commercially sensitive materials for any purpose other than delivering the agreed service. A mutual confidentiality agreement can be provided upon request.

Disclaimers

Aethonix provides consulting and training services based on professional judgment and current knowledge of AI tools. We do not represent that use of AI tools will produce specific outcomes, savings, or results.

Website content is provided for informational purposes. Aethonix makes no warranties about the accuracy or completeness of information on the website. Services are provided with reasonable professional care and skill.

Limitation of Liability

Aethonix's total liability to a Client for any claims arising from a single engagement shall not exceed the fees paid for that engagement. Aethonix is not liable for indirect, consequential, or incidental losses, including loss of profit or data. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

Termination

Either party may terminate an engagement by written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice. Termination by the Client without cause does not entitle the Client to a refund of amounts already paid. Upon termination, Aethonix will deliver any Deliverables completed up to the termination date.

Governing Law and Dispute Resolution

These terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If not resolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

General Provisions

These terms, together with any Scoping Agreement, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions continue in full effect. Failure to enforce any provision does not constitute a waiver. These terms may not be assigned by the Client without Aethonix's prior written consent.

Changes to These Terms

Aethonix may update these terms from time to time. Updated terms will be published on this page with a revised effective date. For ongoing engagements, material changes will be communicated directly. Continued engagement with Aethonix following an update constitutes acceptance of the revised terms.
